1. Acceptance of Terms

By creating an account or using TestiFlow (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of a company or other legal entity, you represent that you have authority to bind that entity to these Terms. If you do not agree, do not use the Service.

You must be at least 16 years old (or the age of digital consent in your jurisdiction, whichever is higher) to use TestiFlow.

2. Description of Service

TestiFlow is a video testimonial collection and showcase platform. It enables businesses ("space owners") to create branded collection pages, invite their customers ("testimonial givers") to record short video testimonials via a browser-based recorder, and embed or share those testimonials on their own websites and marketing materials. The Service includes AI-powered transcription, embeddable widgets, and a Wall of Love showcase feature.

3. Accounts

You must provide accurate and complete information when creating your account. You are responsible for maintaining the security of your account credentials and for all activities that occur under your account. Notify us immediately at support@testiflow.io if you suspect unauthorized access.

We reserve the right to disable or terminate any account that violates these Terms or that we determine, in our sole discretion, poses a risk to the Service or its users.

4. License to Use the Service

Subject to these Terms, TestiFlow grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes.

5. Your Content and License Grant

You retain ownership of all content you upload, create, or collect through TestiFlow ("User Content"), including testimonial videos and space configuration data.

By using the Service, you grant TestiFlow a limited, non-exclusive, royalty-free worldwide license to store, process, transcode, transmit, and display your User Content solely as necessary to provide the Service to you. We will not use your User Content for any other purpose, including marketing or training AI models, without your explicit consent.

You represent and warrant that you have all rights necessary to grant this license and that your User Content does not infringe any third-party intellectual property rights.

6. Acceptable Use

You agree not to use TestiFlow to:

  • Collect video testimonials without the informed knowledge and consent of the individuals being recorded
  • Collect testimonials from minors under 16 without verifiable parental consent
  • Upload, transmit, or share content that is illegal, defamatory, harassing, obscene, or that infringes any third party's intellectual property or privacy rights
  • Impersonate any person or entity, or misrepresent your affiliation with any person or entity
  • Attempt to gain unauthorized access to the Service, its infrastructure, or other users' accounts
  • Use automated means (bots, scrapers) to access the Service in a manner that exceeds reasonable human usage or that circumvents our rate limits
  • Reverse engineer, decompile, or create derivative works of the Service
  • Resell, sublicense, or redistribute the Service without our written consent
  • Use the Service in any way that violates applicable laws or regulations

7. Space Owner Responsibilities

As a space owner who directs third parties to submit testimonials, you are acting as an independent data controller for the personal data of testimonial givers. You are solely responsible for:

  • Obtaining all legally required consents from testimonial givers before directing them to a TestiFlow collection page
  • Disclosing your use of TestiFlow as a data processor in your own privacy policy
  • Ensuring your use of collected testimonials complies with all applicable laws, including laws governing the use of individual likenesses, voices, and endorsements
  • Handling any data subject requests from your customers relating to their testimonials (we will assist as your processor)

8. Beta Period and Free Plan

TestiFlow is currently in beta. During this period, the Service is available at no charge with all features included.

Beta disclaimer: Certain features may be designated as "beta," "preview," or "experimental." Beta features are provided "AS IS," without performance guarantees, and may be modified, suspended, or discontinued at any time.

Free plan notice: We reserve the right to introduce paid plans or modify the features available on the free plan. We will provide at least 30 days' advance notice to existing users before implementing material changes to the free plan. Early beta users will receive preferential treatment when paid plans are introduced.

9. Payment Terms

When paid plans are introduced, the following terms will apply:

  • Subscriptions are billed in advance on a monthly or annual basis
  • Subscriptions automatically renew at the end of each billing period unless cancelled before the renewal date
  • Price changes will be communicated with at least 30 days' notice
  • Annual plan refunds: a pro-rated refund may be issued if requested within 7 days of the billing date
  • Monthly plans: no refunds for partial months

10. Intellectual Property

TestiFlow and its licensors own all rights, title, and interest in and to the Service, including all software, designs, trademarks, and content created by TestiFlow. Nothing in these Terms transfers any ownership of TestiFlow intellectual property to you.

The TestiFlow name, logo, and all related marks are trademarks of TestiFlow. You may not use our trademarks without our prior written consent.

11. DMCA and Copyright

TestiFlow respects intellectual property rights and complies with the Digital Millennium Copyright Act (DMCA). If you believe content on our platform infringes your copyright, send a written notice to our designated DMCA agent at: dmca@testiflow.io

Your notice must include:

  • Identification of the copyrighted work claimed to be infringed
  • Identification of the infringing material and its location on the Service
  • Your contact information (name, address, telephone number, email)
  • A statement that you have a good faith belief the use is not authorized by the copyright owner
  • A statement, under penalty of perjury, that the information in your notice is accurate and that you are the copyright owner or authorized to act on their behalf
  • Your physical or electronic signature

We will terminate the accounts of users who are repeat infringers of third-party intellectual property rights.

12. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS. TESTIFLOW DOES NOT WARRANT THAT ANY DEFECTS WILL BE CORRECTED OR THAT THE SERVICE WILL MEET YOUR REQUIREMENTS.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, TESTIFLOW SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, REVENUE, DATA, BUSINESS OPPORTUNITIES, GOODWILL, OR ANTICIPATED SAVINGS, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF TESTIFLOW HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TESTIFLOW'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE TOTAL AMOUNTS PAID BY YOU TO TESTIFLOW IN THE 12 MONTHS IMMEDIATELY PRECEDING THE CLAIM, OR (B) USD $100.

THE LIMITATIONS IN THIS SECTION SHALL NOT APPLY TO LIABILITY FOR: (i) DEATH OR PERSONAL INJURY CAUSED BY TESTIFLOW'S NEGLIGENCE; (ii) FRAUD OR FRAUDULENT MISREPRESENTATION; OR (iii) ANY OTHER LIABILITY THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.

14. Indemnification

You agree to defend, indemnify, and hold harmless TestiFlow and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from: (a) your use of the Service in violation of these Terms; (b) your User Content; (c) your violation of any third-party rights, including intellectual property or privacy rights; or (d) your failure to obtain required consents from testimonial givers.

15. Termination

You may terminate your account at any time by contacting us at support@testiflow.io or through your account settings.

We may suspend or terminate your account immediately, without prior notice or liability, if you materially breach these Terms, engage in fraudulent or illegal activity, or pose a security risk to the Service.

Upon termination, your right to use the Service ceases immediately. You have 30 days from the termination date to export your data. After that period, your data will be deleted in accordance with our Privacy Policy.

Sections 5, 10, 12, 13, 14, 16, and 17 survive termination.

16. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions.

Informal resolution: Before initiating any formal legal proceeding, you agree to contact us at support@testiflow.io and attempt to resolve the dispute informally for at least 30 days.

Small claims: Either party may bring claims in a small claims court of competent jurisdiction, provided the claim qualifies.

For disputes not resolved informally or through small claims court, both parties consent to the exclusive jurisdiction of the state and federal courts located in Delaware.

17. General

  • Entire agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and TestiFlow regarding the Service.
  • Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
  • Waiver: Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.
  • Assignment: You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.

18. Changes to Terms

We may update these Terms from time to time. For material changes, we will notify you by email at least 30 days before the new Terms take effect. Continued use of the Service after the effective date constitutes your acceptance of the updated Terms. If you do not agree to the new Terms, you must stop using the Service and may terminate your account.
